DREAMGIRL MAP POLICY

Effective March 1, 2022 

 

As a leading manufacturer and marketer of women's fashion-forward lingerie, dresses, separates, and other apparel, Lovin Enterprises, Inc. dba Dreamgirl (“Dreamgirl”) recognizes that our resellersinvest time and resources to deliver an extraordinary customer experience through knowledgeable staff and compelling vendor presentation. In an industry with fierce inter-brand competition, Dreamgirl relies on its resellers to distinguish the company’s products through advertising, in store displays, dedicated web pages, and other types of promotions. Dreamgirl wishes to establish policies that enable our resellers to maintain the high level of customer excellence people have come to expect from the Dreamgirl® brand. To protect the investment of our respected, high-quality dealers, and the reputation of Dreamgirl’s family of brands, we have unilaterally adopted the following Minimum Advertised Price Policy (“Policy”). 

 

Resellers must advertise all products distributed by the company bearing the Dreamgirl® brand name or other brand names owned by the company (“Dreamgirl Products”) at a price equal to or greater than the Minimum Advertised Price (“MAP”) set forth on Dreamgirl’s price list that is effective at the time of such advertisement. This Policy does not apply to private label products. Shipping may not be included in computing MAP. 

 

This Policy applies to all forms of advertising to consumers in any media including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, mail order catalogs, internet or similar electronic media including websites, forums, email newsletters, email solicitations, television, radio, and public signage. Effectively lowering the advertised price below MAP by coupons, rebates, product giveaways, or other advertised discounting methods specific to Dreamgirl Products is a violation. This Policy also prohibits any activity that Dreamgirl determines, in its sole discretion, is designed or intended to circumvent the intent of this Policy, such as solicitations for ‘group purchases’ or bundling products at an advertised price that does not reflect the combined MAP of all products in the bundle. 

 

From time to time, Dreamgirl may permit resellers to offer coupon discounts bringing the advertised price below MAP. Dreamgirl reserves the right to modify or suspend MAP with respect to the affected products for a specified period by providing advance notice to all resellers of such changes. 

 

Resellers may only sell Dreamgirl Products online through approved, publicly accessible e-commerce websites owned and operated by such reseller. Selling on third party sites (eBay, Amazon, Alibaba, Walmart, etc.), drop-ship sites (Buy.com, Newegg.com, Overstock.com, etc.), classified sites (Craigslist.com, Facebook Marketplace, etc.) or through direct messages on forums, is strictly prohibited without Dreamgirl’s explicit, written, prior permission. 

 

Nothing in this Policy shall constitute an agreement with Dreamgirl. Compliance is entirely discretionary. However, if Dreamgirl, in its sole discretion, determines that this Policy has been violated, it may unilaterally reduce or terminate benefits it provides to the violator including, without limitation, discounts, promotions, and advertising credits. Dreamgirl may also cancel pending orders, temporarily suspend the reseller’s account, permanently terminate the reseller’s account, or take any other action it deems appropriate in its sole and unilateral discretion. 

 

Dreamgirl will not discuss any conditions of acceptance related to this Policy, as it is non-negotiable and will not be altered for any reseller. In addition, Dreamgirl does not ask for, nor will it accept, any assurance Dreamgirl MAP Policy Effective March 1, 2022 or agreement of compliance with this Policy from its resellers. Dreamgirl employees are not authorized to modify or grant any exceptions to this Policy or to negotiate compliance with any resellers. Third parties, including Dreamgirl resellers, shall have no right to enforce this Policy. 

 

Resellers must reasonably cooperate with Dreamgirl’s investigations regarding any possible violations of this Policy. Hindering, obstructing, delaying, or otherwise failing to cooperate with such investigations is a violation of this Policy. 

 

Nothing in this Policy is intended to or does set the prices at which resellers may actually sell any products. Dreamgirl recognizes that authorized resellers may sell products at any price they choose, without consulting or advising Dreamgirl. This Policy applies solely to resellers’ advertised pricing.
